Fresh Wheels is a product owned and operated by Sezhix Private Limited (“Sezhix”, “Company”, “we”, “us” or “our”). These Terms & Conditions (“Terms”) are a legally binding agreement between you and Sezhix Private Limited and govern your access to freshwheels.in, the Fresh Wheels driving-school management software, and all related services (collectively, the “Service”). By accessing, registering for or using the Service, you agree to these Terms. If you use the Service for an organisation, you confirm that you have authority to bind that organisation, in which case “you” includes that organisation.
1. Eligibility and accounts
You must be legally capable of entering a binding agreement. Account information must be accurate and current. You are responsible for protecting credentials, managing authorised users and promptly reporting suspected unauthorised access. Each user should have an individual account.
2. Service and customer responsibilities
Sezhix provides Fresh Wheels as a set of tools for driving-school administration. You remain responsible for your operations, regulatory compliance, driving instruction, licences, tax filings, invoices, decisions and the accuracy and legality of data entered into the Service. Features do not constitute legal, tax, accounting, safety or government advice.
3. Acceptable use
You must not:
- Use the Service unlawfully, fraudulently or to infringe another person’s rights.
- Upload malware or harmful, deceptive, illegal or unauthorised content.
- Attempt to bypass security, gain unauthorised access, probe vulnerabilities or disrupt the Service.
- Reverse engineer, copy, scrape, resell or commercially exploit the Service except as expressly permitted.
- Use automated means that unreasonably burden the Service or share credentials with unauthorised persons.
4. Plans, fees and taxes
Plan features, limits and current prices are shown at purchase or in an order. Fees are generally billed in advance and exclude applicable taxes unless stated otherwise. You authorise agreed recurring charges. Except where law or an order requires otherwise, paid fees are non-refundable. We may change pricing prospectively with reasonable notice; you may cancel before the new price takes effect.
5. Trials, changes and availability
Trials may be limited or withdrawn. We may improve, modify or discontinue features while seeking to avoid material reduction of paid core functionality during a current billing term. Maintenance, emergencies and events outside reasonable control may affect availability. Any stated service level applies only when included in a separate written agreement.
6. Customer data and privacy
You retain ownership of data you submit. You grant us the limited rights needed to host, copy, process, transmit and display it to provide, secure and support the Service. You confirm that you have a lawful basis, have given required notices and permissions, and may instruct us to process that data. Our Privacy Policy explains our practices.
7. Intellectual property and feedback
Sezhix Private Limited owns and retains all right, title and interest in and to Fresh Wheels and the Service, including its source code, object code, software architecture, databases, workflows, interfaces, visual designs, graphics, content, documentation, trademarks, trade names, logos, domain names, know-how, improvements and all associated intellectual-property rights, except for materials expressly identified as belonging to third-party licensors.
No ownership rights are transferred to you. Subject to these Terms and payment of applicable fees, Sezhix grants you a limited, revocable, non-exclusive, non-sublicensable and non-transferable right to access and use the Service internally during your active subscription. You may not copy, modify, create derivative works from, distribute, license, sell, remove proprietary notices from, or otherwise exploit any part of the Service except where Sezhix has expressly authorised it in writing or applicable law does not permit such restriction.
If you provide ideas, suggestions or feedback about Fresh Wheels, you grant Sezhix a perpetual, worldwide, irrevocable and royalty-free right to use and incorporate that feedback without restriction or payment, without identifying you publicly.
8. Third-party services
Integrations and external links are operated by third parties and may have separate terms and privacy policies. We are not responsible for third-party services, their availability or their acts and omissions.
9. Suspension and termination
You may stop using the Service and cancel according to your plan. We may suspend or terminate access for non-payment, material breach, security risk, unlawful use or where required by law, normally after notice when practicable. Upon termination, access ends. Data export and deletion are governed by the applicable plan or written agreement, subject to legal retention and backup cycles.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation or that the Service will meet every requirement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or loss of profit, revenue, goodwill or data. Sezhix Private Limited’s aggregate liability arising from the Service will not exceed the fees paid or payable for the Service during the six months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
12. Indemnity
You will defend and indemnify Sezhix Private Limited, its directors, officers, employees and affiliates against third-party claims arising from your unlawful use of the Service, your content, your breach of these Terms or your violation of another person’s rights, to the extent permitted by law.
13. Governing law and disputes
These Terms are governed by the laws of India. Courts with competent jurisdiction in Tamil Nadu, India will have exclusive jurisdiction, subject to any mandatory consumer rights. Before filing a claim, the parties will attempt in good faith for 30 days to resolve it through the contact details below.
14. General
If a provision is unenforceable, the remainder continues. Delay in enforcement is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or transfer of the Service. These Terms and any applicable order constitute the agreement on their subject matter. A negotiated written order controls where it expressly conflicts.
15. Changes and contact
